The Compliance Chairman is responsible for receiving and resolving reports by employees and others on the matters described above. The Compliance Chairman will refer complaints submitted, as he or she determines to be appropriate, or as required under the direction of the Company’s Board of Directors, to the Company’s Board of Directors or an appropriate committee of the Board.

In addition, the Company has established a procedure by which confidential complaints involving the matters described above may be raised anonymously within the Company.
Complaints submitted through this confidential process will be presented to the Compliance Committee and the Company’s Board of Directors or an appropriate committee of the Board at the next meeting of the Board or Board Committee as appropriate.
